Terms and Conditions of Service

Dice (“Dice,” “we,” “us,” or “our”) operates the Dice web application and related services (collectively, the “Services”). These Terms and Conditions of Service (“Terms”) govern your access to and use of the Services.

1. Acceptance of Terms

By accessing or using the Services, creating an account, or clicking to accept these Terms where presented, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

We may update these Terms from time to time. We will post the revised Terms and update the effective date above. Material changes may be communicated through the Services or by email where appropriate. Your continued use after the effective date of changes constitutes acceptance unless applicable law requires additional consent.

2. Description of Service

Dice provides software tools intended to help creators and businesses understand and manage financial and operational information, including by aggregating or presenting data that you authorize us to access from third-party platforms. Features may change, be added, or be discontinued. We do not provide legal, tax, or investment advice; any insights or summaries are informational only.

3. Eligibility and Account Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Services. You agree to provide accurate registration information and to keep it current. You are responsible for safeguarding your account credentials and for all activity under your account, except to the extent caused by our gross negligence or willful misconduct.

4. Third-Party Platform Integrations

The Services may allow you to connect third-party accounts (for example YouTube, Stripe, Patreon, Beehiiv, Gumroad, Substack, Whop, or Spotify) via OAuth or similar mechanisms. Those connections are between you and the third party; your use of their services is governed by their terms and privacy policies. We are not responsible for third-party availability, accuracy, or conduct. You may revoke access through the third party or through in-product controls where we provide them.

5. Acceptable Use

You agree not to:

  • Violate applicable law or infringe others’ rights;
  • Attempt to gain unauthorized access to the Services, other users’ data, or our systems;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Use the Services to distribute malware, spam, or deceptive content;
  • Reverse engineer, decompile, or attempt to extract source code except where prohibited by law;
  • Use automated means to access the Services in a manner that imposes an unreasonable load.

We may suspend or terminate access for violations of these rules or to protect the Services.

6. Fees and Payment

Certain features may be free or offered under paid plans. If you purchase a paid subscription or other fee-bearing offering, you agree to the pricing and billing terms presented at checkout or in an order form. Fees are generally non-refundable except as required by law or as we specify in writing. Taxes may apply based on your location.

7. Intellectual Property

The Services, including software, branding, documentation, and content we provide (excluding your data), are owned by Dice or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You retain rights in your content and data; you grant us the rights necessary to operate the Services as described in our Privacy Policy.

8. Privacy

Our collection and use of personal information is described in the Privacy Policy, which is incorporated by reference. In summary: we process information to provide, secure, and improve the Services, including to enable integrations you authorize.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DATA WILL BE ACCURATE OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DICE OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO US.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

11. Indemnification

You will defend, indemnify, and hold harmless Dice and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your data, your violation of these Terms, or your violation of third-party rights.

12. Termination

You may stop using the Services at any time. We may suspend or terminate your access if we reasonably believe you have violated these Terms, pose a security risk, or if we discontinue the Services (where we will provide reasonable notice when practicable). Provisions that by their nature should survive will survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. The exclusive jurisdiction and venue for disputes arising out of or relating to these Terms or the Services will be the state and federal courts located in California, unless applicable law requires otherwise; you consent to personal jurisdiction there.

14. Miscellaneous

These Terms constitute the entire agreement between you and Dice regarding the Services and supersede any prior agreements on the same subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets. Notices may be sent to the email associated with your account.
